These Terms of Service (“Terms”) govern your access to and use of the website [www.imbody.com] / [www.fitnessimbody.com] (“Website”), and your purchase of Imbody smart fitness equipment and related products and services (“Products”) from Imbody India (“Imbody India”, “we”, “us”, “our”). By accessing the Website, placing an order, or otherwise using our services, you (“you”, “customer”, “user”) agree to be bound by these Terms. If you do not agree, please do not use the Website or purchase our Products.


  1. ABOUT US


Imbody India is the sales partner in India for the Imbody range of smart fitness equipment. Imbody India sells, delivers, installs, and provides after-sales support for Imbody Products in India through its Website, authorized retail partners, and direct sales representatives.


  1. ELIGIBILITY


  • You must be at least 18 years old and capable of entering into a legally binding contract under the Indian Contract Act, 1872 to place an order on the Website.

  • If you are placing an order on behalf of a business, gym, clinic, or other organization, you confirm that you have the authority to bind that entity to these Terms.

  • You agree to provide accurate, current, and complete information when creating an account or placing an order, and to keep such information updated.


  1. PRODUCTS, PRICING & AVAILABILITY


  • We take reasonable care to ensure Product descriptions, specifications, images, and pricing on the Website are accurate; however, minor variations (e.g., colour, packaging, minor spec updates by the manufacturer) may occur.

  • All prices are listed in Indian Rupees (INR) and are inclusive or exclusive of applicable taxes as indicated at checkout. Prices are subject to change without notice, but changes will not affect orders already confirmed.

  • Product availability is subject to stock. In case a Product is unavailable after an order is placed, we will inform you and offer a substitute, delayed delivery, or full refund.

  • Promotional offers, discounts, and bundle pricing are valid only for the period specified and may be withdrawn or modified at our discretion.


  1. ORDERS & PAYMENT


  • Placing an order on the Website constitutes an offer to purchase, which is accepted by Imbody India upon order confirmation (via email/SMS/WhatsApp) or dispatch of the Product, whichever is earlier.

  • We accept payment via the methods listed at checkout (cards, UPI, net banking, bank transfer, or cash-on-delivery where offered). Payments are processed through secure third-party payment gateways; Imbody India does not store full card details.

  • For large or custom equipment orders, we may require an advance/booking payment with the balance due before or upon delivery/installation, as communicated at the time of order.

  • We reserve the right to cancel or refuse any order at our discretion, including in cases of suspected fraud, pricing errors, or unavailability of stock, in which case any payment received will be refunded.


  1. SHIPPING, DELIVERY & INSTALLATION


  • Estimated delivery timelines are provided at checkout or by our sales team and are indicative, not guaranteed; delays may occur due to logistics, customs (for imported components), or circumstances beyond our control.

  • Risk in the Product passes to you upon delivery. Please inspect the Product at the time of delivery and note any visible damage on the delivery challan.

  • Where installation is included with your purchase, our technicians or authorized installation partners will schedule a convenient time with you. Additional charges may apply for non-standard installation requirements (e.g., difficult site access, additional electrical work).

  • You are responsible for ensuring adequate space, flooring, and electrical supply suitable for the Product prior to delivery and installation, as specified in the Product documentation or by our team.


  1. RETURNS, REFUNDS & WARRANTY

Returns and refunds are governed by our separate Return Policy, and manufacturer warranty terms are provided with your Product invoice/documentation. Both are incorporated into these Terms by reference. In case of any conflict between this section and the Return Policy, the Return Policy will prevail for return/refund matters.

  1. INTELLECTUAL PROPERTY


  • The Website, including its content, design, logos, product images, text, graphics, and the “Imbody” name and marks, are owned by or licensed to Imbody India and/or Shuzhiyinli (Xiamen) Sport Technology Co., Ltd, and are protected under applicable intellectual property laws.

  • You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Website or our marketing materials without our prior written consent.

  • Any feedback, reviews, or suggestions you provide to us may be used by Imbody India without restriction or compensation to you, unless otherwise agreed in writing.


  1. ACCEPTABLE USE

When using the Website, you agree not to:

  • Use the Website for any unlawful purpose or in violation of these Terms or applicable Indian law.

  • Attempt to gain unauthorized access to our systems, networks, or any account not belonging to you.

  • Upload or transmit viruses, malware, or any code intended to disrupt or damage the Website or our systems.

  • Scrape, copy, or reuse Website content for commercial purposes without authorization.

  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.


  1. THIRD-PARTY LINKS & SERVICES

The Website may contain links to third-party websites or services (e.g., payment gateways, logistics trackers, social media). Imbody India does not control and is not responsible for the content, policies, or practices of any third-party site. Your use of such third-party services is at your own risk and subject to their respective terms.

  1. LIMITATION OF LIABILITY

  • To the maximum extent permitted by law, Imbody India's total liability arising out of or relating to your purchase or use of the Website shall not exceed the amount paid by you for the relevant Product.

  • Imbody India shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or goodwill, arising from your use of the Products or Website, except where such liability cannot be excluded under applicable Indian law (including the Consumer Protection Act, 2019).

  • Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under Indian law.

  • Fitness equipment carries inherent physical risk. You are responsible for using Imbody equipment in accordance with the provided instructions, and for consulting a medical professional before starting any exercise program, particularly if you have pre-existing health conditions.


  1. INDEMNIFICATION

You agree to indemnify and hold harmless Imbody India, its officers, employees, and authorized partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your misuse of the Products or Website, your violation of these Terms, or your violation of any applicable law or third-party right.

  1. PRIVACY

Our collection and use of your personal data is governed by our Privacy Policy, which explains our practices under the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025, and is incorporated into these Terms by reference.

  1. SUSPENSION & TERMINATION


  • We may suspend or terminate your access to the Website or refuse to process an order if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or misused the Website.

  • Provisions relating to intellectual property, limitation of liability, indemnification, and dispute resolution shall survive termination of these Terms.


  1. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in our business practices or applicable law. The updated Terms will be posted on the Website with a revised "Last Reviewed" date. Continued use of the Website or purchase of Products after such changes constitutes your acceptance of the updated Terms.

  1. GOVERNING LAW & DISPUTE RESOLUTION


  • These Terms are governed by and construed in accordance with the laws of India.

  • Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation between the parties by contacting our support team (Section 16).
